These Terms of Use apply to use of the public Website. If you purchase, subscribe to, or otherwise use BUILTO products or services, your relationship with BUILTO may also be governed by our Terms of Service, an order form, proposal, statement of work, invoice authorization, service agreement, or other written agreement. If a separate agreement expressly conflicts with these Terms of Use regarding a purchased service, the separate agreement controls to the extent of that conflict.

Website descriptions are informational and do not by themselves create a service obligation, guarantee availability, reserve capacity, establish pricing, or form a binding service agreement.
Any purchased service is governed by the applicable service terms, order form, proposal, statement of work, invoice, checkout terms, or other agreement accepted by you. Nothing on the Website expands the scope of a purchased service beyond the applicable written agreement.

BUILTO DOES NOT WARRANT THAT THE WEBSITE OR CONTENT WILL BE COMPLETE, CURRENT, ACCURATE, RELIABLE, SECURE, UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR YOUR PARTICULAR PURPOSE, OR THAT DEFECTS WILL BE CORRECTED.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE BUILTO PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE WEBSITE, CONTENT, OR THESE TERMS OF USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE BUILTO PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE, CONTENT, OR THESE TERMS OF USE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
For purposes of this section, the “BUILTO Parties” means The Builto Group LLC and its owners, officers, employees, contractors, agents, licensors, vendors, and service providers. These limitations do not apply to liability that cannot lawfully be limited or excluded.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless the BUILTO Parties from claims, demands, actions, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising out of or relating to your unlawful or prohibited use of the Website, your violation of these Terms of Use, your infringement or violation of another person’s rights, or information or materials you submit through the Website.
BUILTO may assume control of the defense of a matter subject to indemnification, in which case you agree to provide reasonable cooperation.
17. Linking to the Website
You may link to the Website in a fair and lawful manner that does not misrepresent your relationship with BUILTO or imply sponsorship, endorsement, approval, partnership, or affiliation where none exists. 20. Governing Law and Venue
These Terms of Use and any dispute arising out of or relating to them or the Website are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules that would require application of another jurisdiction’s laws.
Except where applicable law requires otherwise or a separate written agreement with BUILTO provides a different dispute-resolution procedure, you agree that any court proceeding arising solely from these Terms of Use or use of the public Website will be brought in a state or federal court of competent jurisdiction located in Massachusetts, and you consent to personal jurisdiction and venue there.
21. Time Limit for Claims
To the fullest extent permitted by law, any claim or cause of action arising out of or relating to the Website, Content, or these Terms of Use must be filed within one (1) year after the claim or cause of action accrued, or it is permanently barred. This limitation does not apply where applicable law does not permit the parties to shorten the otherwise-applicable limitations period.
22. Waiver, Severability, and Assignment
If BUILTO does not enforce a provision of these Terms of Use, that does not waive our right to enforce it later. If a provision is found invalid, illegal, or unenforceable, it will be enforced to the maximum extent permitted and modified or severed only to the minimum extent necessary, while the remaining provisions remain in effect.
You may not assign or transfer your rights or obligations under these Terms of Use without our prior written consent. BUILTO may assign these Terms of Use in connection with a merger, sale, financing, reorganization, transfer of assets, corporate restructuring, or transfer of the Website or relevant business.
23. Entire Agreement and Order of Precedence
These Terms of Use and the Privacy Policy constitute the agreement between you and BUILTO concerning your use of the public Website, except to the extent another written agreement expressly governs a specific feature, transaction, or service.
If you become a BUILTO customer, the applicable Terms of Service, Order Form, or other service agreement is additional to these Terms of Use and controls over these Terms of Use with respect to the purchased services where there is a conflict.
